The 1996+ cars have the advantage of easily accessible OBD-II codes. What code are you getting? The rear oxygen sensor, which is there primarily to indicate failure of the catalytic converter, has at least two error modes:
1. Reading out of range - something is wrong with either the cat or the sensor
2. Oxygen sensor heater is not working properly - there is a heater circuit internal to the sensor so that it warms up and gives more accurate readings faster. I had this failure mode often with a couple of Audis that we used to own (four sensors per car!!!).
If the case is not cracked or rusted out, which you would be able to hear as a fairly loud exhaust leak, the cat is not DIRECTLY causing the smell inside your car - it's possible that oil is leaking down on top of the cat and the fumes of that being burned off is making a smell indirectly. If this is the case, replacement of the cat will not change anything related to the smell.
