I've had the same questions myself about 2011 9-5s because the car has a lot of appeal for the prices offered. That being said, the bottom line is that the car is basically unsupportable by many GM dealerships and most indies.
As such, I wouldn't offer more than $20K for it and, since you know it's a trade-in, the dealer probably gave the previous owner around $15K for it because it has very limited market value. In other words, the dealer stands to make a boat load on that used car so there must be tremendous room for negotiation.
In any event, as much as I'd like a NG9-5, I simply wouldn't pull the trigger for one, especially a loaded version with lots of goodies that'll break at some point (HUD, rear seat DVDs, etc.). If you really want a NG9-5, go with the base version.
But! If you must have this particular 9-5, take the VIN and see if any GM dealer will give you a run-down on the warranty and service work performed. If there's more than one 'check electrical system' service run away.
You might also call your insurance company, give the VIN and have them estimate the value of the car for you in the event of a total loss. That may give you a better feel for what they think it's worth on the open market.
