OT : upgrading dell mid tower

Hello,
I am looking to upgrade a Dell Dimension Tower (500 Mhz, Pentium III about five years old) to a better motherboard/CPU (thinking AMD Athlon).Think that it has a 300 V power supply. Does anyone know if Dell is a proprietary motherboard and will I have trouble getting a generic motherboard to fit into the case? Also, what is the advantage of going to a Intel motherboard with a 800 front side bus over the athlon?
will probably upgrade the video card as well. any suggestions? I currently have a 32 MB Diamond Stealth Video Card.
