On my 2003 front passenger seat, the latch is on the plastic grommet on top of the seat back, and catches on the post at the indentation that has just emerged from the seat back.
To put it all the way down, I release the catch and push the headrest down, past the highest indentation, until it sits on the seat back. There is no indentation to "lock" it into that very lowest position. Its worked that way on pretty much every car I've owned.
If you mean the rear passenger seats, in my case the headrest hinges backwards and lays on the rear deck, out of significant view.
