Do I have a bad TWICE module?

Today I got the "key not accepted" message in my 99 V6. I normally don't carry the remote, so went home and got both remotes and went back to the car. Tried holding the unlock button on the remote and turning the key and I get nothing.
Figuring it was bad batteries in the remotes, I put in new batteries. Pushed the unlock button 5 times as the mnaual says to do to sync the remotes. Again, nothing, the car does not respond to the remotes in any way. Won't lock or unlock the doors for example. I measured the voltage of the old remote batteries and it was 3.01V, and it's a nominal 3V battery, so that should be good.
After I tried to start the car, I heard a clicking sound in the passengers footwell. It was cyclic about every 2 seconds, sounded like a relay opening and closing. I've never heard this sound before.
On the SID display, I also got a small + sign next to the "K" in key not accepted message when I tried to crank. Is that of any significance?
Any ideas what to do next? If it is a bad TWICE module, can I plug in a replacement, or does it need to be programmed to the car?
