Possibly bad tranny?? HELP!

Hi,
I recently purchases a used 93 9000 CS Turbo. After taking it home and driving it a little harder then I would normally I notice I have a grinding noise when I shift from first to second. When I am shifting the clutch is all the way in. It seems to be grinding right before second locks in...like right on the boundary of the gear. This noise sounds exactly like the sound you get when you try to shift w/o the clutch in. I only get this noise when I am accelerating rather quickly..if I drive normal...maybe a little slower..it doesn't really happen. I tested to see if it happened at high rpms, it doesn't. It only seems to happen when I am accelerating (the car is MOVING forward). It doesn't seem connected to how fast the engine running, just how much load is on the car. This noise is quite frieghtning. The car recently had the clutch, shifter, and tranny replaced. The clutch and shift were new, but the tranny was a used one the guy ordered from goldenwing or something like that. I get the noise slighty when I drop it into second from a higher gear sometimes, but not always. The car still goes into second, it just makes this horrid noise. When I got home tonight after testing it all I noticed there was quite a powerful smell of burnt clutch...more noticeable on the passenger side of the car actually. I have NO IDEA what is causing this and why it seems centered around 2nd gear...if anyone can give me advice as to what it is or possibly remedies I'd greatly appreciate it...
P.S. I don't have a huge amount of money...:(
Thanks in advance...
Joseph
