Must be a Greek connection with Olympus :-). I've bought four Olympus cameras over the years and they rock, just like their lab equipment back in the old country.
The 4 vs 5 mp is irrelevant in itself; how is the camera to be used? I have a 2mp Olympus and find it enough for what I need. 3 or 4 would be ideal, but I can always use my Olympus SLR. I am guessing the 5mp is a pocket/compact style while the other with the 10x zoom is the larger variety.
The memory card issue is irrelevant also, assuming it is SD/XD and not DumbMedia like mine. 64 is too small, I have 128 for 2mp's. Make sure it's compatible with faster flash cards, waiting to write 4mb in flash blows.
4 vs 5 is important if you work for a magazine or something of that sort. For 'Hi Mom' type shots 2 is fine, 3 is more than enough for printing calendars, and 4 is nirvana. I'd go for the extra optical zoom which is handier than resolution in most cases.
I do have a few issues with them (the guy who designed the DI cassette must have designed their cameras' battery compartment door mechanism), their ergonomics are not as good as I'd like them, and you may have a hard time finding accessories for cheap.
Check the lenses and their overall specs (aperture, low light capabilities, etc). If you can take a pic with either one and compare it would be even better.
SF made some good points also regarding form factor, I won't repeat them.
