Hi John,
Ford and DaimlerChrysler definitely have a lot of punch at the table at
Ballard, but they don't own controlling interests. DaimlerChrysler owns 19%
of Ballard and 52% of XCELLSIS (the joint venture that produces the fuel
cell systems and engines). Ford owns 14% of Ballard and 22% of XCELLSIS.
Ballard owns 27% of XCELLSIS. There's a 2nd JV for electric drive train
manufacturing: Ecostar Electric Drive Systems (Ballard owns 21%, Ford owns
62% and DaimlerChrysler owns 17%).
It works something like this: Ballard Power Systems makes fuel cell stacks
and sells them to XCELLSIS, which also buys electric drive trains from
Ecostar. These FCs and drive trains then go to Ballard Automotive and then
on the OEMs for placement into automobiles and buses.
There's also an alliance for stationary power generators called Ballard
Generation Systems (BGS) which is owned by Ballard (68%), ALSTOM SA (16%)
and EBARA Corporation (6%). On the flip side, BGS has a 49% interest in 2
distribution JVS called ALSTOM BALLARD and EBARA BALLARD with those two
companies. For stationary generators, Ballard Power Systems delivers fuel
cell stacks to BGS who then sells Fuel Cell Power Generators to the world
except Europe and Japan; to EBARA BALLARD to distribute into Japan; and to
ALSTOM BALLARD to distribute into Europe.
It's a bit of a tangled web, but somewhat indicative of the way this
industry is shaping up and why alliances and partners are so important at
this stage.
