40k miles - shifter feels wrong,worn clutch? Symptoms?

Hello everyone,
I bought a '04 9-5 Aero about a month ago, with roughly 40k miles on it, car is in great shape, have records. I know the manuals are somewhat clunky and not so much fun on these cars, but if I remember the feel of my '97 900 SE-Turbo stick correctly, this car feels wrong. That 900 shifted smoothly, with good feel. (I had an automatic '00 9-5 Aero in between). I didn't give it a second thought during my test drive of the '04, as I hadn't driven a stick in a while and added it up to my being a little rusty. Can it be the clutch, so soon?
Symptoms I'm getting:
1. Sometimes difficult to get into reverse and actually grinding on 2 occasions
2. Car is always VERY difficult to drive smoothly - particularly when downshifting to pass, say from 5th to 3rd or 4th, it doesn't engage smoothly - more of a severe "clunk"
3. Shifting into 1st when reaching a stop - it is sometimes reluctant - it helps if I engage 2nd before putting it into 1st (I use the brakes to slow the car, and don't go through the gears when slowing down)
4. 2nd to 3rd shift feels "gritty" when engaging 3rd, pretty much all of the time - not grinding, but not smooth either.
5. Friction point is at the very tip of clutch travel, close to when I release the pedal.
Is it just the 9-5 that is this way, and I need to get used to this, or is there a more serious issue here? Could it simply need new trans. fluid, or is it likely that my clutch is worn? THat would be VERY surprising given the low mileage, no?
What are your thoughts?
