It all depends on how bad it is. Generally the flange on the intermediate pipe snaps off and stays bolted to the cat leaving the intermediate pipe hanging. Depending on how rusted up the flange on the cat is, it may be best to have it welded back together. It can be a real bear of a job to get the bolts out. I usually get under the car with a grinder and just cut the ends of the bolts off and replace them with stainless steel when I put things back together. If the flange on the cat is really rusted, it may need to be reinforced or replaced. That's why sometimes it's better just to weld the intermediate pipe back up until you can really address the problem. If it's not too rusty, you can just get a new intermediate pipe. Definitely check the condition of the rest of the system though. As long as you have to get under there and mess around, as others have said, sometimes replacing the system from the cat back is the best course of action.
When you do put a new system on, put some high-temp ceramic paint on the welded areas to buy yourself some extra life for the system. The welded areas are the first parts to rust through. That flange at the end of the intermediate pipe is the perfect example.
