Keep or lose converter?

I am about to have my exhaust done, less headers. The PO had everything welded together and not it is rusted through in a couple of spots. Did I mention decibel level is getting higher every week? I have the rest from cat-back ready to go in only it can't be bolted on. The converter and flex will have to be cut off. I also have a separate flex ready.
Can I just have the converter trashed and have the new system go on?
What would the effects be in terms of noise and gas mileage?
And yes I live in Mass where pre-96 (odb1?) vehicles are no longer subject to emissions testing since 10/08.
94 CS N/A 186K miles and doesn't burn oil.
