I thought it was pretty good. There was an awful lot of silly one-liners (ex. they're driving a stolen hearse with the entire roof torn off, Arnold says "we need a new vehicle"), funny references to stuff in the first two movies, that sort of stuff, so it wasn't as "serious" as the first two. The plot wasn't as detailed as them either, but there was enough there to back up what was going on. I'd say it was "reasonably intelligent".
The action sequences are good, they did an excellent job of limiting the CGI stuff to things that needed to be CGI, unlike so many recent films that use it just for the sake of having it (the new Star Wars movies have sucked in my opinion because of the CGI overkill).
The ending was a great suprise, pretty unusual. Sets us up for a Terminator 4 too.
Arnold still looked pretty good, not as youthful as in the first one obviously but I think he pulled it off.
