The case may look the same, but the guts are different. AT&T uses the GSM system (as does 70%+ of the world), whereas Verizon uses CDMA; the technologies are incompatible and the circuitry for the phones is therefore different.
Two of the main design features (and issues) with the RAZR phones is the lack of an external antenna coupled with a metalic case, both of which present challenges for radio communications. CDMA is a newer and superior technology and may provide better communications in challenging RF coverage areas.
