Transmission Failure

This past weekend my 2001 95 SE 3.0 V6 started acting funny. As I was driving, I would continue to accelerate but I wouldn't be moving just revving at 5000 rpm. The transmission seemed to be slipping. But if I turned off the car and waited, I could get about 2 miles until the same thing happened again. I did a transmission fluid change, but it didn't help. I had my car towed to my indy and he said he pulled three codes and I need a new transmission. The quote is $1200 for parts and labor. Does this sounds reasonable? The car has 137K miles on it. Thanks in advance.
