I'd need more information to speculate as to the exact source of the noise. Of course a noise like this is usually indicative that some component, likely a bearing, is on it's way out so speculating about the particular offending element is a fun exercise but can't negate the need to rebuild the unit. If this is the car's original 1990 transaxle then it will have the improved rear cluster gear bearing assembly and those are much more robust then the earlier bearing and don't cause problems as often as the pre-'89 bearing. The fact that the noise only occurs when downshifting to third suggests uneven or extreme wear of the third gear teeth but I wouldn't bet on that without more detailed road testing. It's more likely to be a worn out bearing and the noise is actually present under other conditions but not as evident and may also be RPM related.
