As the other guys note, this job has been done successfully on lots of cars. A good body shop/welder can do this. Be sure to paint and maybe under coat the new metal. And do rear shocks since you have it all apart.
As for your other issues...
The exhaust: Assuming the cat is OK, a flex pipe, intermediate muffler and rear muffler is about $500 in parts. About 1.0 to 1.5 hours to install if it's on a lift. So that's not bad. The common replacements-- Starla/Walker are good systems and last 3-4 years on average.
The A/C could go either way. If it just needs a recharge it's no biggie. It it needs more than that then it's a judgment call, filtered by your wallet. A used compressor is easy, but if you get into things like an evaporator it starts to add up.
Electrical: depends on what it is. Lots of older cars have some electrical issues. As long as all the lights work reliably, the ACC (auto climate control) is OK, and the ECU is running the engine then the car should be fine.
All that said, there are still other good used 9Ks out there. (I just bought one). Do some online searching and they will turn up. They probably won't be local to you, but they are out there.
As for a 9-5, nothing wrong with them (I have one), but they aren't a 9K. And a $5000 one will have it's own set of issues.
