Auto box slipping??

Hey all!
Have a 93 900S vert with a 2.1L automatic trans with 144k that always was delicate to drive so I never push it......yesterday after starting it up and drove off after a couple minutes....going on a hill over a bridge....trans would'nt engage in 2-3 gear...would just slip.....after it warmed up seemed better but still the 3rd would'nt engage....usually moror would rev at 3000rpm for it to engage in 2-3rd gear,while taking it on the highway,yesterday noticed the motor would rev only at 2000rpm to go in 2nd gear(even though seemed and sounded like it was rev much higher)
I flush the tranny last summer after storage with ATF Merkon 5....but NOW the oil looks kinda brownist!
Wondering what to do....was reading other post here on auto-box maintenace and some say a readjustement of the bands could help,fixing the synchros??
Would doing another flush be good also....and WHATS the proper way of doing a COMPLETE flush....final drive,filter and what else????
Thinking of having rebuilt but asking 3000$ or a 5 speeds conversion for 5500$..which is alot..but here again this 93 is in great condition with no rust AT ALL.new top 2years ago....head gasket was redone 5 years ago...and many more!
Any alternative before getting rebuilt or converted??
I'm in Montreal Canada.....be willing to come to the U.S(New England) for a trans-swap or rebuild....any possibilities??
