Listen, I don't know all of the particulars here, so I do hate to give advice, but I was in a very similar situation and I let the lady in question know that I wasn't ready for that kind of relationship yet but that I was very pleased with her friendship. I told this to her over dinner face to face. Don't blow her off, after time, I realized what I had and now we have been married for 14 years. You may have the same situation.
Stop and think to yourself this: what if she were to move away, how would that make me feel? If you are really disturbed with that thought, you may be more interested than you think. That is what woke me up to what I had in front of me.
