If you have a really good body guy you trust the first car might be a good option, otherwise I would avoid it. You'd be looking to write a check all at once for several thousand dollars for any decent work (if you're lucky to find decent work, and for it to not sit around the shop for 6+ months). An MGB with no rust and great body is pretty rare, and it sounds like car two could be a good ongoing project you can enjoy right away and slowly spend the time and money bringing it up to the specification you want. The low miles will also help with resale. Sports Car & Exotic did a nice MGB buyers guide in a recent issue you might want to take a look at.
