1994 9000 aero, need advice on buying (sorta long)

looking at a car, 1994 red aero 180,000 miles. few things i am contemplating.
needs new windshield
needs new rear tires
needs body work (drivers front and rear wheel well have surface rust, passengers front wheel well has surface rust, back quarter panel has some clear coat coming off)
interior is immaculate
engine/transmission sound/feel fine
ac is said to work, couldnt tell
there is no rust on the bottom of the doors (underneath)
exhaust sounds leaky, and is not aero exhaust (tail pipe anyways)
he is asking 3200, but just to get it inspected it needs ~$400-500 (new windshield/tires)
right now, im looking for a car i could drinve for the next 4-5 years... i drive about 17,000miles/yr which makes me very weary of buying this car.
What do you think would be a fair price for such a car
