bad motherboard?

Guys, I'm trying to fix a relatively new Dell XPS 410 desktop, running Windows XP. The computer was giving the blue screen of death at startup. In safe mode, it would boot, but operate extremely slowly.
I ran the installation program off of the hard drive (c:\i386) but it gave the blue screen of death part way into the installation.
I then swapped in a new hard drive, and booted with two different installation CDs. Both eventually give the blue screen of death while installing (win.sys error).
The computer has two SDRAM modules. I tried with one at a time, and both times it gives the same error while installing Windows. So both modules would have to be bad, or neither.
At this point, does it seem like a safe bet that the motherboard or CPU is bad? It's out of warranty by about a year, Dell hasn't been helpful. I'm thinking I could get a combo motherboard/CPU on newegg and try that.
